Fair point. AIUI, the IAB's intent is to be that open, and
that so long as everything happens on an open list and in
open meetings, we're ok wrt the current weird EAR stuff.
(But IANAL of course.)

I am quite sure the IAB do not want to set this up in a way
that might prevent anyone from participating.

That could still allow the IAB to appoint some people to
be programme members in some sense though - I think the
idea was that that might be useful as a way to help
enable some people to stay involved over the longer term,
while not being an exclusive membership. But yeah, if that were
perceived as being divisive or forming an exclusive club, I reckon
that'd be counter-productive.
