The legal document for the LLC defines how the business and affairs 
of the company will be managed.  My interpretation of that document 
is that a LLC Director would not be considered as an Officer of the LLC.

I have not been following those administrative discussions about the 
IETF.  I agree with Brian's comment [1] about "lightweight" as that 
is, in my opinion, in line with what is stated in the IASA2 Charter.
